Appleby is pleased to have acted as Cayman Islands legal counsel to Voyager Acquisition Corp. (Voyager) in the closing of its business combination with VERAXA Biotech AG (VERAXA), an emerging leader in designing novel cancer therapies.

The shareholders of Voyager approved the business combination on March 12, 2026, and the business combination had been previously approved by VERAXA’s shareholders on February 27, 2026. VERAXA’s shares and warrants commenced trading on the Nasdaq Capital Market (Nasdaq) on 11 June, 2026, under the ticker symbols “VRXA” and “VRXAW”, respectively. The business combination between Voyager and VERAXA has created a Nasdaq-listed innovative biopharmaceutical company focused on developing next-generation cancer therapies, including novel bispecific T-cell engagers and antibody-drug conjugates.

Appleby advised on all Cayman Islands legal aspects of the transaction, drawing on its extensive experience in cross-border mergers and capital markets transactions.
