Perth, 17 May 2013: Clayton Utz has acted as legal counsel to ASX-listed integrated waste management and industrial service company Tox Free Solutions Ltd in respect of its acquisition of the assets and business of Wanless Enviro Services Pty Ltd, Smart Skip Pty Ltd and Jones Enviro Services Pty Ltd, and certain of the assets of Wanless Enviro Asset Management Pty Ltd. The acquisition, which was announced on 30 April, completed today.
The total cash consideration for the acquisition was $85 million.
Clayton Utz Perth Corporate partner Mark Paganin led the firm's team, which included partner Matthew Johnson and lawyers Tracy Chew and Rebekah Winsor, in achieving successful completion of the deal for Tox Free.
Clayton Utz has also recently advised Tox Free in relation to its successfully completed $43 million institutional placement, to partly fund the acquisition.
