Appleby has acted as Isle of Man and Cayman Islands counsel to Lifezone Metals, developer of cleaner metals for EV batteries, on its announced entry into a business combination agreement with GoGreen Investments Corporation (NYSE: GOGN), a publicly traded special purpose acquisition company or "SPAC".

The transaction will create the first nickel resource and green technology company listed on the New York Stock Exchange (NYSE). Upon completion of the proposed transaction, the combined company will operate under the "Lifezone Metals" name and be listed on the NYSE under the ticker symbol "LZM". The transaction values the combined company at a pro forma equity value of approximately $1 billion.

The cross-jurisdictional Appleby team is led by Isle of Man partner Juan Thornley assisted by senior associate Darryl Jago. Cayman-based partner Benjamin Woolf, counsel and global co-head of SPACs Dean Bennett, and associate Adam Versaci are advising on the Cayman Islands law aspects of the transaction.
