The SEC adopted amendments (the "Final Rule") to the Jumpstart Our Business Startups ("JOBS Act") and the Fixing America's Surface Transportation Act ("FAST Act"). These amendments revise rules related to the thresholds for (i) registration, (ii) the termination of registration and (iii) the suspension of reporting under Securities Exchange Act Section 12(g).

SEC Chair Mary Jo White stated: "With the adoption of these amendments, the Commission has completed all of the rulemaking mandated under the JOBS Act."

The Final Rule will become effective 30 days after its publication in the Federal Register.
