Court Of Chancery Reaffirms That Breach Of Fiduciary Claim Is Quintessential Basis For Equitable Jurisdiction

In QC Communications Inc. v. Quartarone, Del. Ch. C.A. No. 8218-VCG, May 14, 2013, the Court of Chancery ruled on a motion to dismiss for lack of subject matter jurisdiction.  In its brief ruling, the Court reaffirmed the fact that a claim of  breach of fiduciary duty  is "the quintessential equitable claim" and thus, denied defendants' motion to dismiss for lack of subject matter jurisdiction.
