Background

A young growing company looking to raise equity capital from private investors (business angels) can face a bewildering array of advice, information requests, documentation and demands on its time that seem out of all proportion to the amount being raised.

The potentially mismatched expectations of the company and the investor, the cost of doing the deal relative to the funds being raised, the complexity and volume of the documentation and the time it takes to raise the funds can make the whole experience daunting and frustrating. It is no wonder that many young companies take short cuts and risk legal liability or the failure of the fundraising.

Benefits

Nabarro can offer a solution to these problems through its fixed fee completion service.

The process is straightforward. We ask the company to complete a checklist of principal investment terms to identify all the key commercial terms of the investment agreed (or that need to be agreed) with the investor and also a due diligence questionnaire. Armed with this information, we will prepare the necessary documentation to implement the investment and guide the company towards a quick and successful completion. We aim to make our documents clear and concise and to achieve a fair balance between the interests of the company and the investor.

Our fee for this service will normally be £5,000 plus VAT and expenses, based on agreed assumptions that we will explain.
