On 8 June 2012 we published an article on the Financial Reporting Council's ("FRC") report relating to what amounts to an explanation under comply or explain (the "FRC Report – Comply or Explain") which can be found here.

Following on from the FRC Report – Comply or Explain, the Association of British Insurers ("ABI"), many members of which participated in the discussions preceding the FRC Report – Comply or Explain, has published two reports:

  • Comply or Explain: Investor expectations and current practices; and
  • Board Effectiveness: Updating progress, promoting best practice.

Board effectiveness, including board diversity, have been topical subjects for some time now (see, for example, our article on Gender Diversity in the Workplace here).

Set out in this Public Company Update is a summary of the material points contained in each of the two ABI reports noted above and a follow up report published by the FRC in December 2012 addressing  "Developments in Corporate Governance 2012".
