在亚马逊创始人贝佐斯闹出婚变后不久,以"中国亚马逊"著称的当当网,也引发了创始人的开撕大战。10月23日晚,李国庆在朋友圈分享歌曲《我还年轻》并配上摔杯门事件后的感言,妻子俞渝在评论区用一千多字的长文进行回应。回复内容囊括财产、出轨、同性恋、净身出户、丧偶式育儿等多重爆炸信息;从摔杯、吐槽到撕破脸皮,历经逼宫、开战、满身狗血。原本满卷书香,而今却一地鸡毛。

相比杰夫·贝佐斯(Jeff Bezos)和其太太麦肯齐(MacKenzie Bezos)温情而理性的离婚声明,当当网两位大当家李俞二人的开撕大战就让人格外瞠目结舌,却又不失为夫妻公司培养法商智慧的一个经典教材。

家族企业的雏形往往是基于夫妻公司的不断发展和壮大,但实践中夫妻二人作为股东的有限责任公司,常常因夫妻双方之间身份关系的恶化或解除,而导致公司经营出现僵局,而后一拍两散最终闹得人财两空,一场唏嘘。

公司资合—看当当网的前世今生

1997年7月,北京当当网信息技术有限公司设立。

1999年11月,当当网正式上线运营。

2000年4月,当当成立后的第一轮融资顺利完成。

2004年,当当已是中国互联网上第一大书店。

2010年12月8日,当当网在纽约证券交易所正式挂牌上市,成为中国第一家完全基于线上业务、在美国上市的B2C网上商城,赢得了"中国亚马逊"的美誉。

2016年9月20日,当当完成私有化交易,市值不到上市的四分之一。

2018年4月12日,当当以74亿交易金额被天海投资收购。

2018年8月30日,俞渝成为当当执行董事。

2019年1月,李国庆不再担任当当网的任何职务,仍是公司股东。

2019年2月14日,俞渝取代李国庆成为当当(北京当当网信息技术有限公司)的法定代表人及总经理。

2019年2月20日上午,李国庆以公开信的方式宣布离开当当,并指出自己将创办书友会继续图书事业。

公司人合—看渝庆恋的相爱相杀

1996年,李国庆、俞渝在美国相识。

1999年,李国庆和俞渝回国创立当当网。

2017年,商业中出现分歧,夫妻关系摇摇欲坠。

2018年,夫妻分居,李国庆公开支持刘强东事件。

2019年7月,李国庆称向法院申请与俞渝诉讼离婚,三个月后双方收到法院传单,俞渝以感情未破裂为由不同意离婚。

2019年10月10日,在访谈节目《进击的梦想家》中,李国庆谈及被逼出当当时怒摔水杯,引发舆论哗然。

2019年10月23日晚,李国庆发朋友圈,俞渝在评论区曝其混乱私生活。

10月24日,李国庆频发微博回应:俞渝"武则天夺位";不惜触犯法律爆料不实信息,影响舆论,为离婚分割股权争取更多机会。

10月24日晚,李国庆再发15则针对性回应:俞渝的爆料中"只有一件是真的,其他都假的"。

所谓:"如果只有以爱情为基础的婚姻才是合乎道德的,那么也只有继续保持爱情的婚姻才合乎道德。"故如婚姻双方的爱情已经终结,导致维持婚姻关系的"伦理实体"消亡,对于夫妻双方乃至社会群体来说都无益处,这样的婚姻关系则应该终结。

离婚诉讼引发当当的股权之争

根据李国庆的微博显示:2019年7月,李国庆称向法院诉请与俞渝离婚。诉讼离婚是在协议离婚无法达成一致的情况下,解除婚姻关系的另外一种方式,诉讼离婚通常解决以下三个问题,身份问题:即婚姻关系是否解除;子女抚养的问题:即子女由谁抚养和抚养费的承担;财产分割的问题,渝庆诉讼离婚案件中的股权分割成为争议的焦点,涉及公司治理,公司人合性以及公司和私人财产是否独立等问题。

股权如何分割?

股权作为股东对公司享有人身和财产权益的一种综合性权利,只有在作为夫妻共同财产的前提下才可以分割,即在婚姻关系存续期间取得的股权:如婚后以共同财产购买的股权,婚后出资设立公司所得的股权或婚后受让的股权;婚后因继承或者赠与获得的股权;夫妻约定婚前股权归夫妻共同共有的。但是有例外:继承或赠与中明确只给予一方的除外;

离婚诉讼中,法庭分割股权一般遵循以下原则:照顾无过错方原则;尊重当事人意愿原则,协商为原则;有利于生产,方便生活原则;在司法实践中无法协商一致的股权会分配到最能够发挥其价值的一方中去,如一方在经营,一般会判决分配给经营一方,便于体现股权的价值。利于生产经营,有利于资源的优化。

对于不涉及其他股东的股权分割:一般直接分割;如典型的夫妻公司:公司仅有两个股东,以各自名义持有股权,一方诉请分割股权的,一般协商,协商不一致的,原则上各自一半,但将陷入公司僵局,从公司正常经营角度出发,公司的控股权是可以议价的,实务中采用竞价方式出价高的得股权。另一种情况,一方在一家公司持有股权,公司还有其他股东的;股权的分割看做是股权转让的一种形式,应当经其他股东过半数同意,并同等条件下优先受让,但公司章程有约定除外。

在李俞诉讼离婚中,按照媒体公开报道数据显示,李俞持有众多公司的股权,其核心为:北京当当网信息技术有限公司,北京当当科文电子商务有限公司,天津当当科文电子商务有限公司等。当当网的ICP备案公司为北京当当网信息技术有限公司,其为天津当当科文的全资子公司,天津当当科文股东为北京当当科文(持股比例100%),北京当当科文电子商务有限公司为当当网实际控制主体。北京当当科文公司中,俞持有64.2%股权,为控股股东。李持有27.51%股权,为第二大股东。二人合计持有91.71%股权,按照俞在公开媒体报道2018当当估值约60多亿元。根据公开查询,当当运营主体公司均为婚后成立的,在二人没有书面约定以及公司章程中无特殊约定的情况下,应当照顾女方和子女的利益的情况下分割财产,一般为平均分配。而对于股权的分配一般遵循有利生产方便经营的原则分配共有的股权归属一方,得股权一方按照协议或市值支付对方股权折价款;因李俞二人共同经营公司多年,也不能排除双方回归理性,双方分家不散伙的可能性,即,离婚后以公司合伙人的身份优化资源,共同继续经营公司。

面对逐渐壮大的当当,公司何去何从不仅仅关乎夫妻二人,直接影响到公司其他股东以及债权人和诸多合作伙伴的利益,其发展或泯灭都具有一定的社会性。同时,作为公众人物的企业家,具有更多的社会责任,亦应当引导积极的舆论导向。无论路走多久,都不忘初心,彼此温柔相待,才能够对抗世间所有的坚硬,才具有抚慰众生,抚平伤痛的力量。
