Canada: Sua empresa está corretamente registrada no Canadá?

Registrar sua empresa no Canadá pode ser complicado e cometer erros como o registro incorreto ou no nível errado pode impactar negativamente seus negócios. É imperativo entender as diferenças entre a incorporação em nível Federal/Provincial e ter um registro extra provincial.

Empresas que se registram em nível Federal podem operar sob o mesmo nome em todo o Canadá. A flexibilidade pode ser muito útil, especialmente se a corporação decidir ter operações em diferentes províncias ou territórios. Mas isso não significa que a empresa pode operar em qualquer outra província ou território que não seja aquela onde ela foi primeiramente registrada. Se elas forem registradas em nível provincial, o nome só é assegurado naquela área.

Podem haver muitas razões pelas quais uma empresa decide se incorporar em uma província ou território específico no Canadá. Algumas províncias podem requerer um diretor local canadense e muitas empresas internacionais podem não ter funcionários alocados no país. A corporação pode escolher destinar-se a uma outra província para evitar este requerimento. Mas isso pode trazer problemas para suas operações.

Empresas incorporadas na Columbia Britânica, por exemplo, não podem operar em Quebec. Elas só podem fazer negócios na Columbia Britânica. Para realizar atividades em outra província ou território, a empresa deve se registrar provincialmente em cada nova jurisdição individualmente.

As atividades das empresas estão em constante fluxo, então seu negócio precisa pensar no futuro e olhar para o cenário como um todo. Se há uma possibilidade de sua empresa entrar em contratos, ter um funcionário ou vender em uma província diferente, é importante registrá-la adequadamente.

Processos de registro

O processo para empresas que queiram se registrar em outras províncias varia dependendo da localidade. Os custos e tempo para aprovação também diferente, o que adiciona à complexidade.

Por exemplo, no Quebec, uma empresa canadense que seja incorporada provincialmente e queira se registrar em outras províncias deve:

  1. obter uma aprovação de nome para sua designação em Quebec em inglês e francês;
  2. submeter uma petição que inclua o tipo de empresa, suas atividades e quaisquer funcionários em Quebec;
  3. enviar uma lista do conselho e dos officers;
  4. enviar uma lista de acionistas;
  5. ter um endereço local em Quebec ou um advogado de registro.

Adicionalmente, todos os formulários para registro em Quebec estão em francês, adicionando-se uma nova camada de complexidade. O arquivamento leva 2-3 dias úteis e custa CAD 200. Depois da aprovação, a empresa receberá o número de registro (NEQ).

Para manter sua empresa em compliance, uma declaração anual deve ser enviada todo ano para renovar o registro. Cada província é diferente, mas Quebec não impõe multa em caso de atraso. Empresas que não estejam em compliance com registros provinciais extras estão sujeitas a multas aplicadas pelo respectivo Registro/Ministério.

Acordo de parceria de comércio

Se você decidir se incorporar em uma destas três províncias: Columbia Britânica, Alberta e Saskatchewan, a corporação entra no Acordo de parceria de comércio. Este acordo cria uma zona de livre comércio interprovincial. O benefício deste acordo é que ele otimiza o processo regulatório para operar negócios nestas jurisdições. Empresas incorporadas nestas províncias não precisam enviar múltiplos relatórios e registros, mas ainda terão que ter um endereço local em cada província. No geral, a manutenção é menor e tem um melhor custo-benefício.

Filiais

Empresas multinacionais que não queiram ser incorporadas no Canadá e preferem estabelecer uma filial devem se registrar para uma licença extra provincial estrangeira. Os requerimentos são diferentes e além das informações dos negócios, elas devem enviar uma cópia do certificado de incorporação da empresa sede, uma cópia do certificado de boas práticas da corporação e, se os documentos não estiverem em inglês, devem ser traduzidos e registrados no cartório. A submissão não requer que os diretores da corporação internacional sejam cidadãos canadenses ou residentes permanentes. Requer-se que um indivíduo seja um "Agente de Serviço". Este indivíduo deve residir em Ontário e ter mais de 18 anos ou ter uma corporação separada em Ontário.
