The SEC Division of Corporate Finance provided relief permitting Thomson Reuters Corporation, a Canadian entity, to conduct a "modified Dutch auction" tender offer in the United States without compliance with Exchange Act Section 13(e)(1) and Rule 13e-4. The tender offer will be conducted pursuant to Canadian statutory requirements. The Ontario Securities Commission granted Thomson Reuters Corporation relief to be exempt from certain Canadian law requirements and the SEC accepted the Canadian procedures.
