The non-tax aspects of a restructure can be just
important, if not more so, than the tax issues, according to Cooper
Grace Ward partner Clinton Jackson.
'While we are often focused on the tax consequences of a
restructure, the commercial considerations can be equally as
significant to the health of the client's finances and the
success of the restructure,' Mr Jackson said.
'Even in a transfer between related parties it is important
to consider things like employee entitlements, IP and client and
supplier contracts, and ensuring all assets are properly
transferred,' he continued. 'Failure to do so can have
major adverse, even fatal, consequences on the business going
