The Ontario government updated the mandatory Proxy Form and released it on May 10, 2018. This new Proxy Form will need to be used going forward.

The main substantive changes to the new Proxy Form are 1) the less-often used sections for requisitions, special voting, and owner-occupied voting are collapsed by default, making the form shorter and more straightforward; and 2) the choices for how a form will be used have been expanded to quorum only, quorum and routine matters, or quorum and all voting. These choices also now make it clear that, if the proxy is appointed to vote on all matters, and no specific voting instructions are inserted in the applicable sections, the proxy may nominate and vote on all matters as if present. That is, the proxy should receive a ballot to vote for directors or other matters as the case may be, again, subject to any specific instructions completed on the proxy.
