Federal Register: SEC Adopts Amendments To Expand Definition Of Smaller Reporting Company

SEC final amendments to expand the definition of "smaller
reporting company" ("SRC") were published in the Federal Register. The
amendments will become effective on September 10, 2018.
As previously
covered, the amendments will raise the SRC threshold and permit
a wider group of registrants to qualify for scaled disclosure
obligations. The goal of expanding the number of qualifying
registrants is to encourage capital formation, as well as to reduce
compliance fees. The amendments will not alter the
"accelerated filer" or "large accelerated
filer" threshold.
