Kirkland & Ellis counseled Investec Bank plc and the lenders on their senior secured and mezzanine financing for a midstream gas gathering company, Cardinal States Gathering Co. LLC, a Virginia limited liability company and an indirect wholly owned subsidiary of CNX Resources Corp. The Cardinal Credit Agreement was entered into as of March 13, 2020 and provides for an eight-year first lien senior secured term loan facility in an initial aggregate amount equal to $125 million and includes amortization payments of 1 percent per annum, with the balance due and payable on the eighth anniversary of the closing date. On the closing date, CSG Holdings II LLC, a Delaware limited liability company and a holding company of Cardinal States Gathering entered into a credit agreement with Investec Bank and the lenders from time to time party thereto. The CSG Holdings Credit Agreement provides for a seven-year first lien mezzanine term loan facility in an initial aggregate amount equal to $50 million and includes amortization payments of 1 percent per annum, with the balance due and payable on the seventh anniversary of the closing date.
