Morrison & Foerster LLP is advising VMware, Inc. (NYSE: VMW) on its US$26 per share cash tender offer of cybersecurity company Carbon Black, Inc. (NASDAQ: CBLK). When complete, this transaction marks VMware's first acquisition of another public company. The merger consideration represents an equity value of US$2.3 billion for Carbon Black.
