(i) Consent solicitation – closed on 26 October 2022

Acted as Cayman Islands counsel to Helenbergh China Holdings Limited (the "Issuer", together with its subsidiaries, the "Group") and British Virgin Islands counsel to the subsidiary guarantors in connection with the solicitation of consents from holders of the 11.0% Senior Notes due 8 October 2023 issued by the Issuer constituted under the indenture dated 8 October 2021 (as supplemented or amended, the "Indenture") to certain waivers and amendments to the Indenture issued by the Issuer. The Group is an expanding PRC real estate developer primarily engaged in the development of residential properties.

(ii) First exchange offer – closed on 7 November 2022

Acted as Cayman Islands counsel to Helenbergh China Holdings Limited (the "Issuer", together with its subsidiaries, the "Group") and British Virgin Islands counsel to the subsidiary guarantors in connection with the exchange offer for the Issuer's outstanding 11.0% Senior Notes due 24 March 2023 issued pursuant to the indenture dated 24 March 2021 for the new U.S.$315,407,211 8.0% Senior Notes due 2024. The Group is an expanding PRC real estate developer primarily engaged in the development of residential properties.

(iii) Second exchange offer – closed on 11 November 2022

Acted as Cayman Islands counsel to Helenbergh China Holdings Limited (the "Issuer", together with its subsidiaries, the "Group") and British Virgin Islands counsel to the subsidiary guarantors in connection with the exchange offer for the Issuer's outstanding 11.0% Senior Notes due 8 October 2023 issued pursuant to the indenture dated 8 October 2021 for the new U.S.$285,442,328 10.33% Senior Notes due 2023. The Group is an expanding PRC real estate developer primarily engaged in the development of residential properties.

The above transactions are led by partner Juno Huang. The Issuer were also advised by Sidley Austin as to US law and Hong Kong law, and by Commerce & Finance as to PRC law. The initial purchasers were advised by Linklaters as to US law and by Global Law Office as to PRC law.
