LONDON, March 8, 2022 – Proskauer, a leading international law firm, today announced that it has acted as lead counsel to Global Risk Partners (GRP) and its stakeholders on its acquisition by Brown & Brown, Inc.

The transaction is expected to close in the third quarter of 2022, subject to regulatory approvals.

Founded in 2013, GRP is one of the largest independent insurance intermediaries in the UK and will operate within the Brown & Brown Retail segment.

Shortly prior to this transaction, Proskauer advised GRP on its acquisition of a majority stake in Hamilton Fraser, a high growth insurance and regulatory schemes and broker providing specialist insurance and risk management solutions. The acquisition is also subject to regulatory approvals. In 2020, the Proskauer team also advised the management of GRP in connection with the major investment into it from Searchlight Capital Partners.

The Proskauer team advising GRP on the two deals consisted of partners Richard Bull and Andy Houghton, associates Jack Morant, Darpit Mehta and Cassie Ditzel and paralegal Georgie Quilter-Wood (M&A); partner Vishnu Shankar, special counsel Kelly McMullon and associate Alex Dixey (TMT/Privacy); special counsel Nicola Bartholomew (Employment); partner Vicki McKay and associate Laura Sevenoaks (Real Estate); special counsel Paul Hughes (Antitrust); and partner Stephen Pevsner and associate Philip Gilliland (Tax).

Andrew Hunter, General Counsel of GRP commented: "This is a superb deal for GRP as we share a similar entrepreneurial ethos with Brown & Brown, and their ownership will bring a long-term perspective which opens up new opportunities for growth. The importance of this transaction is why we turned to Proskauer. The firm's long experience in M&A transactions in financial services and their recent experience within the insurance market made them our go-to choice."
