One of the key amendments provides that starting now any natural or legal person can be a sole shareholder in more than one limited liability company, and furthermore – a limited liability company can have a limited liability company held in turn by a sole shareholder (chaining) as sole shareholder. Prior to the recent legislative changes the companies tried to circumvent the restrictions using a second minority shareholder (holding one share). Such practices, however, were causing delays in the incorporation process and in the structuring of the group or of acquisition transactions.

Another important amendment lifts the restriction regarding the number of companies that can have their registered headquarters under the same address. Following the introduced changes, irrespective of the available rooms, the number of companies that can be registered at the same address is unlimited.

Furthermore, in case the company will not carry out activities at the registered headquarters, there will be no need to hold and submit the approval of the neighbours and the owners association.

The new legislation amending companies law no. 31/1990 is expected to enter into force at the beginning of 2020.
