United States: Amendments To The Accelerated Filer And Large Accelerated Filer Definitions

The Securities and Exchange Commission has scheduled an open meeting for May 9, 2019 at 9 am, which will be webcast.

At the open meeting, the SEC will consider whether to propose new rule amendments to the accelerated filer and large accelerated filer definitions to promote capital formation for smaller reporting issuers by more appropriately tailoring the types of issuers that are included in the categories of accelerated and large accelerated filers and revising the transition thresholds for these filers.

As we noted in prior posts, when the SEC amended the definition of smaller reporting company (SRC) it did not amend the definition of accelerated filer and large accelerated filer so there were no changes made to the Sarbanes-Oxley Section 404 attestation requirements.
