SEC Chair Jay Clayton described agency initiatives to increase small business access to capital.

In remarks at the Annual Government-Business Forum on Small Business Capital Formation, Mr. Clayton stated that the SEC has a number of initiatives on its agenda for 2019 to help small businesses raise capital. The SEC will examine, among other things: (i) the "accelerated filer" definition and the thresholds that trigger Section 404(b) of the Sarbanes-Oxley Act, (ii) expanding testing-the-waters accommodations that allow companies to communicate with certain investors prior to or following the filing of a registration statement, (iii) mandated quarterly reporting by registered issuers, and (iv) the framework for private offerings.
