Cyber attacks stand among the foremost risks facing businesses today. A breach of consumer data or loss of trade secrets can cause enormous financial, legal, and reputational harm, and emerging threats may result in the disruption, destruction, or manipulation of critical systems or connected devices across the Internet of Things. Regulatory scrutiny likewise is increasing as new regulators enter a field that already has seen a proliferation of rules and regulatory guidance. Moreover, enforcement actions and putative class litigation now not only follow cyber attacks, but increasingly are initiated based only on purported vulnerabilities or allegedly inadequate procedures—not an actual hack. And the glare of press or congressional scrutiny can compound challenges facing victim companies.

As General Counsel of the National Security Agency, I saw firsthand the importance of addressing cyber threats in a coordinated and risk-based manner.
