On November 16, 2018, Turkish Competition Board ("Board") announced its final decision on the formal investigation of

  • Sodexo Avantaj ve Ödüllendirme Hizmetleri A.Ş. ("Sodexo");
  • Edenred Kurumsal Çözümler A.Ş. ("Edenred");
  • Network Servisleri A.Ş. ("Network");
  • Multinet Kurumsal Hizmetler A.Ş. ("Multinet");
  • Winwin Hizmet Yönetimi A.Ş. ("Winwin"); and
  • Set Kurumsal Hizmetler A.Ş. ("Set")

on whether said undertakings violated Law No. 4054 on Protection of Competition ("Law").

Sodexo, Edenred, Multinet, Winwin and Set are active in the meal card market in Turkey while Network, founded by Sodexo and Edenred, operates in the Point of Sale (POS) systems market.

The Board unanimously ruled that

  • Sodexo, Edenred and Network violated Article 4 of the Law through activities causing coordination. Thus, pursuant to Article 16 of the Law, Article 5(1)(b), 5(2) and 5(3)(b) of Regulation on Fines to Apply in Case of Agreements, Concerted Practices and Decisions Limiting Competition and Abuse of Dominant Position, the Board imposed following administrative fines based on their gross annual revenues in fiscal year 2017:

    1. Sodexo – TRY 3,207,702.79
    2. Edenred – TRY 3,919,367.39
    3. Network – TRY 624,038.41
  • Multinet, Winwin and Set did not violate the Law.
  • The Board shall send legal opinion to the Ministry of Treasury and Finance that differentiated accounting treatments of undertakings active in meal card market might cause inconveniences for the application of the Law.

The reasoned decision will be shared when announced by the Board.
