Turkey: Ticari Işlemlerde Taşınır Rehni Sisteminde Ocak 2017'den Itibaren Yürürlüğe Girecek Esaslı Değişiklikler Getirildi

Küçük ve orta büyüklükteki işletmelerin finansman kaynaklarına ulaşmasını ve rekabet güçlerinin artırılmasını amaçlayan 6750 sayılı Ticari İşlemlerde Taşınır Rehni Kanunu ("Kanun") 28 Ekim 2016 tarihli ve 29871 sayılı Resmi Gazete'de yayımlanmıştır.

1 Ocak 2017 tarihinden itibaren yürürlüğe girecek olan Kanun ile belirli bazı istisnalar dışında 4721 sayılı Türk Medeni Kanunu'ndaki taşınır rehinine ilişkin hükümler esnaf ve tacirler bakımından uygulanmayacaktır.

Teslimsiz taşınır rehinine getirilen yeni sistem ile rehin haklarının Rehinli Taşınır Sicili'nde ("Sicil") tescil edilmesi ve bu sayede taşınır rehininde aleniyet sağlanması öngörülmüştür.

Rehin hakkı, rehin sözleşmesinin Sicil'e tescil edilmesiyle kurulacaktır. Rehin sözleşmesinin noter onaylı yapılması yahut imzaların bir Sicil yetkilisi nezdinde atılması gerekmektedir. Sözleşmenin güvenli elektronik imza ile onaylanması şartıyla, rehin sözleşmesinin elektronik ortamda düzenlenmesi de mümkün kılınmıştır.

Kanun kapsamında, rehin sözleşmesi akdedildiği tarihte mevcut olmayan müstakbel taşınırlar üzerinde rehin kurulmasına imkân sağlanmıştır.

Ayrıca, taşınırlar üzerinde ticaret unvanı ve işletme adından bağımsız olarak rehin tesis edilmesi mümkün kılınmıştır. Bu sayede şirketler, ticari işletme rehini kurmaksızın taşınırları üzerinde ayrı ayrı rehin tesis edebilecektir.

Alacağın temlikine ilişkin uygulamaları etkileyebilecek bir değişiklik olarak, alacaklar üzerinde de bir rehin sözleşmesi akdedilerek Sicil'e tescil edilmesi suretiyle rehin kurulabilecektir.

Rehin sözleşmesi (i) kredi kuruluşları ile tacir, esnaf, çiftçi, üretici örgütü, serbest meslek erbabı gerçek ve tüzel kişiler arasında veya (ii) tacir ve/veya esnaflar arasında akdedilebilecektir.

6750 sayılı Kanun'un 5. Maddesi uyarınca, rehin hakkının kurulabileceği taşınır varlıklar sınırlı olarak sayılmıştır. Buna göre, rehin hakkı aşağıdaki varlıklar üzerinde kurulabilecektir:

  • Alacaklar,
  • Çok yıllık ürün veren ağaçlar,
  • Fikri ve sınai mülkiyete konu haklar,
  • Hammadde,
  • Hayvan,
  • Her türlü kazanç ve iratlar,
  • Kira gelirleri,
  • Kiracılık hakkı,
  • Makine ve teçhizat, araç, ekipman, alet, iş makinaları, elektronik haberleşme cihazları dâhil her türlü elektronik cihaz gibi menkul işletme tesisatı,
  • Sarf malzemesi,
  • Stoklar,
  • Tarımsal ürün,
  • Ticaret unvanı ve/veya işletme adı,
  • Ticari işletme veya esnaf işletmesi,
  • Ticari plaka ve ticari hat,
  • Ticari proje,
  • Vagon,
  • Yukarıda sayılanlardan üçüncü kişiler zilyetliğindeki taşınır varlık, hak ve paylı mülkiyet hakları,
  • Başka bir sicile kaydı öngörülemeyen her türlü lisans ve ruhsatlar.

You may print and keep a copy of these Terms, which form the entire agreement between you and Mondaq and supersede any other communications or advertising in respect of the Service and/or the Website.

No delay in exercising or non-exercise by you and/or Mondaq of any of its rights under or in connection with these Terms shall operate as a waiver or release of each of your or Mondaq’s right. Rather, any such waiver or release must be specifically granted in writing signed by the party granting it.

If any part of these Terms is held unenforceable, that part shall be enforced to the maximum extent permissible so as to give effect to the intent of the parties, and the Terms shall continue in full force and effect.

Mondaq shall not incur any liability to you on account of any loss or damage resulting from any delay or failure to perform all or any part of these Terms if such delay or failure is caused, in whole or in part, by events, occurrences, or causes beyond the control of Mondaq. Such events, occurrences or causes will include, without limitation, acts of God, strikes, lockouts, server and network failure, riots, acts of war, earthquakes, fire and explosions.
