Clients' views on whether they will sell their business as a going concern are often very different to whether the sale can qualify as GST-free under the GST Act. In this session, Fletch will work through case studies on:

  • how to recognise risks for when sales of business assets are unlikely to qualify as GST-free
  • selling leasing enterprises, including when business assets are sold by a different vendor entity
  • common traps for business assets sales
  • drafting GST-free going concern clauses, with fallback provisions if the Commissioner ever takes the view the supply is not GST-free.
