There are many useful CGT concessions, including the general 50% discount, the small business CGT concessions and same asset CGT roll-overs. Clients naturally will want to maximise the concessions they can claim to limit their exposure to CGT.

While the concessions can be extremely generous, there are usually a number of requirements that need to be satisfied to access them. These requirements do not always seem logical and, in some cases, the way a business or share sale is structured or particular contract terms are drafted can limit or event prevent the client accessing available concessions.

In this interactive workshop we will use case studies to illustrate issues to be considered when structuring sales of businesses and drafting contracts, including:

  • what concessions the clients are looking to choose and what conditions must be satisfied to access them;
  • what type of asset is being sold (a depreciating asset or a CGT asset);
  • timing issues around signing the contract and triggering the CGT event; and
  • put/call options and traps for applying the general discount.

In this session we will highlight common pitfalls for practitioners acting on business and share sales and the red flag areas to approach with caution.
