Directors and officers of public companies and government corporations and agencies face personal liability from a variety of sources including:

  • The Corporations Act 2001
  • The Government Owned Corporations Act 1993
  • The Australian Consumer Law
  • Environmental and workplace health and safety regulations.

The liabilities range from claims relating to breach of the duty of due care and diligence, misleading and deceptive conduct to deemed officer liability, where the corporation or employer commits an offence.

This workshop addresses the steps that can be taken by company D&Os to manage their personal liability exposure. It will also show you how to ensure that they have maximum protection available through indemnity and insurance protection.

What we'll cover

  • The principles that apply when assessing personal liability of company D&Os
  • A review of case examples which assess the circumstances for imposition of liability
  • Indemnity and insurance protection – this will be addressed through a Q&A format looking at common issues that arise in respect of D&Os' indemnity and insurance protection
  • The importance of the interaction between company indemnity arrangements and D&O insurance
  • The need to update company indemnity arrangements to ensure maximum protection
  • Managing disclosure and notification obligations under claims made insurance
  • The need for D&Os to contribute to the premium for D&O insurance
  • Legal defence costs coverage for the D&Os in respect of ASIC investigations and other regulatory investigations and inquiries
  • Protection for innocent D&Os where there has been fraud or dishonesty which potentially prejudices insurance coverage
  • The impact of M&A transactions on D&O insurance and indemnity protection.
