Norton Rose in Australia is advising Hong Kong Stock Exchange listed Dingyi Group Investment Limited (Dingyi) on its potential A$200m takeover of Elemental Minerals.

Elemental Minerals is a mineral exploration and development company listed on the Australian Securities Exchange and the Toronto Stock Exchange. The company has a 93% stake in the Sintoukola Potash Project, situated on the coast of the Republic of Congo.

Dingyi is an investment company with interests based primarily in Hong Kong and Mainland China. Dingyi is a company controlled by Mr. Li Kwong Yuk, a Chinese entrepreneur. Mr. Li also controls a number of other substantial Mainland Chinese and international business interests in sectors including infrastructure, real estate, financial institutions and natural resource, among others.

The proposal is indicative and non-binding, but if proceeding to a formal offer could result in an offer being made to acquire all of the outstanding shares in Elemental for a cash price of A$0.66 per share.

The proposal was announced on 12 April 2013.

James Stewart, partner, Norton Rose Australia commented "Having offices in each of the key jurisdictions for this transaction: Australia, Hong Kong, Beijing, Toronto and Paris (and a long track record of doing deals in Africa) uniquely positioned us to quickly mobilise the team for this transaction to deliver a seamless cross border service."
