UK: Mayer Brown Rowe & Maw Advises General Electric In £229 Million Recommended Offer For Druck Holdings P.L.C.

Mayer, Brown, Rowe & Maw’s Corporate Group has advised GE Measurement & Sensing Technologies Holdings, Inc, (a wholly owned subsidiary of General Electric Company) on two recommended cash offers to be made by JP Morgan on its behalf for the purchase of UK listed Druck Holdings p.l.c.

The offers will be made at 350 pence in cash for each Druck Share and value the whole of Druck's issued share capital at approximately £229 million. The transaction is unusual in that Druck has 2 classes of equity share capital – GE is therefore obliged to make 2 offers pursuant to the Takeover Code.

Druck Holdings p.l.c. is a technology leader in the application of advanced sensor technologies for pressure measurement and control.

GE is a long term client of Mayer, Brown, Rowe & Maw.

The deal was led by GE in-house counsel, James Billingsley.
