New Zealand: Chapman Tripp submissions on Companies and Limited Partnerships Amendment Bill – Directors' duties

The Companies and Limited Partnership Amendments Bill is an omnibus piece of legislation which proposes to criminalise certain directors' duties and introduce changes to company registration provisions and to the treatment of amalgamations and schemes of arrangement by companies which are subject to the Takeovers Code.

Chapman Tripp made separate submissions on each of the three issues.

Directors' duties

This submission argues strongly that the criminalisation of breaches of directors' duties is a retrograde step which is wrong in principle and may even be counter-productive to the cause of strengthening New Zealand's governance culture.
