New Zealand: Chapman Tripp submissions on Companies and Limited Partnerships Amendment Bill - Registration

The Companies and Limited Partnership Amendments Bill is an omnibus piece of legislation which proposes to criminalise certain directors' duties and introduce changes to company registration provisions and to the treatment of amalgamations and schemes of arrangement by companies which are subject to the Takeovers Code.

Chapman Tripp made separate submissions on each of the three issues.

Registration

This submission argues that the approach promoted in the Bill to prevent the abuse of New Zealand's company registration system will not deter those with a dishonest purpose while loading extra costs on to bona fide companies. We promote some alternative solutions which are lighter but will, in our view, be more effective.
