UK: Faegre Benson Hobson Audley Advises US Client On Seismic Acquisition

Faegre Benson Hobson Audley, the multinational partnership between US firm Faegre & Benson and UK firm Hobson Audley, acted on behalf of Geotrace Technologies Inc in the purchase of Ensign Geophysics Limited for a cash consideration of £3.375m.

Geotrace Technologies Inc is based in Houston, Texas and processes seismic data for companies involved in oil exploration.

Ensign Geophysics is a UK based business which supplies the full range of seismic data processing and analysis to the oil and gas exploration industry. Ensign also has offices in Norway and Houston and subsidiaries in Nigeria and Brazil.

3i were the majority shareholder of Ensign with the remainder of the shares held by the directors.

The Faegre Benson Hobson Audley team was led by corporate partner Donald Stewart assisted by Matthew Dickinson (corporate), Ravinder Mahal (employment) and Malcolm Headley and Zara Shah (property). In the US the team was led by client partner Jim Williams from Faegre & Benson's Boulder office.

The vendors were represented by the Aberdeen office of Ledingham Chalmers. The team was led by John Rutherford, assisted by Dominic Sheils (corporate) and John Macrae (tax).
