United States: SKO’s Thomas Rutledge Tapped For ABA Task Force

LOUISVILLE (Aug. 31, 2017)—The American Bar Association's Section of Business Law has appointed Stoll Keenon Ogden PLLC Attorney Thomas E. Rutledge co-chair of the Enactment Task Force.

The Enactment Task Force will specifically focus on the third edition of the Model Business Corporation Act. It is one of about 10 working task forces addressing corporate law issues and amendments to the Act.

With SKO since 1990, Rutledge is a member of the Business Services practice, focusing on Mergers & Acquisitions and Securities & Corporate Governance. His practice concentrates on business organization law and disputes among business owners. He is an established author and expert witness on business organization matters, including the operation of LLCs and fiduciary duties in corporations and LLCs.

Additionally, Rutledge has participated in drafting significant Kentucky laws governing businesses in the Commonwealth. A prolific author, his publications also have been cited by Kentucky courts, the Delaware Court of Chancery and the 6th and 7th Circuit Courts of Appeal.

Rutledge also currently serves on the ABA's Committee on Corporate Laws.

The mission of the ABA's Corporate Laws Committee is to adopt amendments to and provide expert commentary on the Model Business Corporation Act. The Committee addresses issues relating to the functioning of public and private corporations. It also presents programs and publishes handbooks, treatises, statutory compilations and other reports and papers on this subject.
