Medida Provisória nº 784, ICVM 586 e Regulamento do Novo Mercado

  • Medida Provisória Nº 784/07 – trata, entre outros temas, de alterações nas penalidades aplicáveis aos processos administrativos sancionadores na CVM (com o aumento substancial nos valores das multas antes praticadas e o conceito de acordo de leniência, entre outras novidades);
  • Instrução CVM nº 586/17 (alteradora da Instrução CVM nº 480) – trata principalmente da nova obrigação de entrega de informe sobre a aderência às regras do Código Brasileiro de Governança Corporativa, e novas inclusões de itens específicos de compliance no Formulário de Referência; e
  • "Regulamento do Novo Mercado", aprovado dia 23.6.2017 pelas companhias de tal segmento de governança corporativa, cuja efetiva alteração está condicionada à aprovação da CVM.

Patrícia Pellini é Advogada, graduada e mestre em Direito Comercial pela PUC/SP. Administradora de Empresas, graduada pela EAESP/FGV, com especialização em Finanças pela mesma entidade (CEAG). Na Bolsa desde 2004, é titular da Superintendência de Regulação e Orientação a Emissores da B3 –área responsável pela aplicação, enforcement e aprimoramento dos Segmentos Especiais de Listagem, dentre os quais, o Novo Mercado, bem como por outras iniciativas relacionadas ao desenvolvimento da autorregulação aplicável ao mercado de capitais, como o Programa Destaque em Governança de Estatais.

Paula Magalhães é sócia da prática de Fusões & Aquisições, Societário (especializada em companhias abertas) e Mercado de Capitais & Securitização do Tauil & Chequer Advogados no escritório de São Paulo.

Carlos Motta é sócio de Tauil & Chequer Advogados associado a Mayer Brown, head da prática de Mercado de Capitais & Securitização e co-head da área de Societário & Fusões e Aquisições no escritório de São Paulo. Atua em fusões e aquisições (M&A), ofertas públicas de ações (inclusive IPOs), emissões de dívidas (como debêntures, notas promissórias, bonds e securitização de recebíveis), Direito Societário e de Mercado de Capitais em geral.

Convidado Especial

Luís Adams é sócio das práticas de Contencioso, Arbitragem e Compliance do Tauil & Chequer Advogados. Em Brasília, atua com foco em assuntos relacionados às cortes Superiores e Suprema. Adams atuou como Procurador da Fazenda Nacional do Ministério da Fazenda desde 1993, sendo exonerado a pedido em 2017. Exerceu os cargos de Secretário-Geral do Contencioso do Gabinete do Advogado-Geral da União (2001-2002) e Consultor Jurídico e Secretário Executivo Adjunto do Ministério do Planejamento, Orçamento e Gestão (2003-2006). Em 2006, ele foi nomeado para o cargo de Procurador-Geral da Fazenda Nacional do Ministério da Fazenda, até que foi escolhido para ser o Advogado-Geral da União, ficando no cargo de 2009 a 2016.
