United States: Womble Carlyle’s Work On NCR Cross-Border Transaction Honored With Lex Mundi Award
Last Updated: May 2 2017

Sharon Johnson-Led Team Honored for Work on Sale of NCR's IPS Division

In the summer of 2016, long-term firm client NCR Corporation successfully completed the sale of its Interactive Printer Solutions (IPS) division to Atlas Holdings LLC. Now, Lex Mundi, the world's leading association of independent law firms, is honoring Womble Carlyle's efforts in this complex transaction.

The firm's work on the NCR transaction has been selected as the winner of the 2016 Lex Mundi Award for the Best Multijurisdictional Client Matter.

A Womble Carlyle team led by Sharon Johnson and Eric Glidewell served as NCR's lead legal counsel in the deal. The Womble Carlyle team also included Richard Caira, James Daniel, Joshua Hess Julia Kreyskop, Jeff Lawyer, Dan Mackesey, John Pueschel, and Raj Singh, among others.

The transaction involved holdings in 40 different jurisdictions. So as the Lex Mundi member for North Carolina, Womble Carlyle was able to draw on the resources of Lex Mundi member firms on five continents:

  • Bass, Berry & Sims PLC: USA, Tennessee
  • Basham, Ringe y Correa, S.C.: Mexico
  • Gide: France
  • Claro & Cia., Abogados: Chile
  • Simpson Grierson: New Zealand
  • Afridi & Angell: United Arab Emirates.

Thanks to the work of the Womble Carlyle and Lex Mundi teams, the client received completely seamless service in successfully completing the transaction under a tight timetable.

NCR's IPS division provides a comprehensive suite of solutions including stock and custom color-printed paper receipt rolls, pressure-sensitive label solutions, impact inking and thermal transfer ribbons, as well as other transaction related consumable products.

At the time, NCR Chairman and CEO Bill Nuti said, "The decision to sell our IPS division aligns with our vision to drive growth in software and services."

Lex Mundi will honor Womble Carlyle's efforts on Friday, April 28 at the 2017 Lex Mundi Leadership Summit and Annual Conference in Prague.

In 2014, Johnson's team also guided NCR in its $1.65 billion acquisition of Digital Insight, one of Georgia's biggest M&A deals that year.
