Australia: Clayton Utz advises Tox Free Solutions on its $186m acquisition of Daniels Health Australia and $85m entitlement offer

Perth, 26 October 2016: Clayton Utz is advising ASX-listed environment, waste management and industrial services provider Tox Free Solutions Ltd (ASX: TOX) in respect of its acquisition of 100% of the shares and related assets of Daniels Health Pty Ltd and Daniels Manufacturing Pty Ltd.

Clayton Utz partners Mark Paganin and Stuart Byrne are leading the firm's team together with senior associate Stephen Neale, with key support from lawyers Kaley Ohariw, Thomas Parker and Annella Cox.

Daniels is a leading provider of medical waste solutions, collection and treatment in the Australian healthcare sector, with approximately 300 employees in Australia across 17 sites, as well as three joint venture managed sites in New Zealand.

The acquisition, which was announced today, is for a total consideration of $186 million (subject to adjustments).

Clayton Utz is also advising Tox Free in relation to its fully underwritten 1 for 3.9 pro-rata accelerated non-renounceable entitlement offer to raise total proceeds of $85 million. The entitlement offer is being undertaken to partly fund the acquisition. The institutional component of the entitlement offer opens today and the retail component opens on 3 November 2016.
