Cayman Islands: Conyers Contributes to The Acquisition and Leveraged Finance Review
Last Updated: 27 October 2016

Conyers' Charlie Pywell has written the Cayman Islands chapter for the Third Edition of The Acquisition and Leveraged Finance Review, updating the chapter he provided for the Second Edition.

The publication offers insight on structuring and other common issues in global acquisition and leveraged finance transactions. It is intended to serve as a starting point in considering such issues, particularly in cases where more than just an understanding of the reader's own jurisdiction is necessary.

Charlie's chapter focuses on the nature of leveraged finance transactions involving Cayman Islands' vehicles, including an overview of regulatory and structuring considerations, the types of guarantees and security typically provided by Cayman companies, issues relating to priority and other jurisdictional considerations. His chapter also highlights some of the reasons behind the continued popularity of Cayman Islands corporate holding structures; including the innovative, flexible and creditor-friendly nature of the corporate regime in the Cayman Islands.
