United States: John J. Clair Appointed Office Managing Partner of Los Angeles Office

Los Angeles, June 2, 2004. Latham & Watkins LLP1 is pleased to announce that John J. Clair has been appointed the new Office Managing Partner of the firm’s Los Angeles office. He succeeds Martha B. Jordan who served in that position since 1998. Clair, a tax partner, has previously served in several management roles over the last 4 years, including as a member of Latham’s Executive Committee. Jordan will continue her practice handling major corporate finance transactions involving real estate investment trusts and helping Latham further develop its premier practice in this area.

During Jordan’s tenure, the firm experienced tremendous growth doubling the 800 lawyers in 1998 to nearly 1,600 firmwide, and in Los Angeles growing from 234 attorneys to more than 300. Additionally, the firm opened 5 new offices in Europe: Brussels, Frankfurt, Hamburg, Milan and Paris. The Los Angeles office expanded practice areas including white collar, securities litigation and intellectual property, while maintaining the firm’s preeminence in corporate finance, M&A, REITs and land use.

About John Clair

A partner in the firm’s Tax Department, Clair’s practice has centered around corporate taxation, specifically, advising clients on tax issues involved in mergers, acquisitions and divestitures, financial products and services, and administrative and judicial tax controversy work.

Clair is a member of the Los Angeles County, State of California, and American Bar Associations and has lectured before various professional tax organizations. Clair received his law degree from the University of Pennsylvania in 1972 and his A.B. from Brown University in 1968.

About Martha Jordan

Jordan is also the former chair of the Los Angeles Finance and Real Estate Department and is one of the leading attorneys in the U.S. in handling major corporate finance transactions involving real estate investment trusts. Last year, she closed the largest REIT public offering of the year for Maguire Properties, Inc. for $798 million. Jordan has also worked on numerous public/private development joint ventures with private developers and governmental agencies such as the City of Los Angeles, the Community Redevelopment Agency, the County of Los Angeles and the Los Angeles Unified School District.

Jordan is a former member of the Board of Trustees of the Los Angeles County Bar Association and was named one of California’s Top 100 most influential lawyers by California Law Business in 1999. She is actively involved in downtown Los Angeles civic organizations and is the former Chair of the Board of Managers of the Ketchum-Downtown YMCA. Jordan received her law degree from the University of California, Berkeley in 1983, received an M.B.A. from the University of Cincinnati in 1978, and graduated with high distinction in 1976 with a B.S. from Penn State University.
