United States: Piper Rudnick Bolsters Boston Office, National Business and Technology Practice with Addition of Two New Partners

Prominent Boston Lawyers Jonathan M. Moulton and Lawrence A. Gold to Lead Piper Rudnick’s Corporate and Securities and Emerging Companies Practice in Boston

Boston, September 19, 2003—Piper Rudnick, a leading national law firm, today announced the addition of two new partners to the firm’s Boston office. The additions enhance and diversify Piper Rudnick’s presence in Boston while strengthening the firm’s national Business and Technology Practice. With the new additions, Piper Rudnick’s Boston office now totals 35 attorneys. Prior to joining Piper Rudnick, both Moulton and Gold were partners in the Business Practice Group of the Boston law firm of Testa, Hurwitz & Thibeault.

Messrs. Moulton and Gold concentrate their practices in the area of corporate and securities law, with an emphasis on the legal issues, transactions and relationships of greatest interest to technology companies and venture capital firms. They represent operating companies at all stages of development, from start-ups to large public companies, and across a range of industries, including software and information technology, telecommunications, semiconductor, advanced energy technology, medical device and biotech. They also regularly represent venture capital and other private equity firms, as well as underwriters, financial institutions, and individuals.

Mr. Moulton and Mr. Gold have extensive experience representing both operating companies and investors in private placements of equity and debt securities, as well as representing both issuers and underwriters in public offerings and alternative financing transactions such as Rule 144A and PIPE transactions. They have worked on numerous mergers, acquisitions and divestitures involving both public and private companies, and are experienced in the structuring and negotiation of technology and intellectual property licensing and distribution relationships, including complex strategic alliances. As part of their public company representation, each has counseled clients extensively on Sarbanes-Oxley and other corporate governance and compliance related issues. In addition, they have represented foreign companies doing business in the United States and domestic companies in business transactions abroad.

Mr. Moulton received his B.A. from Westmont College in Santa Barbara, California in 1982and his J.D. from the University of California, Hastings College of the Law in 1986. Mr. Gold received his B.A. from the University of Pennsylvania in 1989 and his J.D. from the University of Chicago Law School in 1992.

Elliot Surkin, the managing partner of the Boston office, said, "When we opened this office at the beginning of the year, we planned to expand its offerings beyond the original real estate, litigation and tax practices. Martin, Jr., a Boston native and co-chair of the firm’s Business and Technology Practice, said the arrival of Moulton and Gold represents an important expansion of the firm’s national corporate and emerging companies practices. According to Moulton and Gold, their moves to Piper Rudnick were driven by the opportunity to join an office that has rapidly established itself in Boston while offering clients a premier national platform for emerging company, litigation, real estate and other corporate legal services.

The new arrivals come eight months after 33 real estate, litigation and energy attorneys departed Hill & Barlow to open the Boston office of Piper Rudnick.
