Dodd-Frank Insight Webinar Series

Title VII of the Dodd-Frank Wall Street Reform and Consumer Protection Act (Dodd-Frank) substantially revamped the US regulatory landscape for the over-the-counter (OTC) derivatives markets. One of the most significant remaining questions is how the Dodd-Frank rules will be applied extraterritorially. The SEC's proposed regulations break new ground in a number of respects and many questions remain about how these rules will be applied.

Our panel presented insights into the SEC's proposed rules, focused on their key differences from the Commodity Futures Trading Commission's (CFTC) approach to cross-border guidance and the challenges presented by the "substituted compliance" framework. We also addressed pressing questions for financial institutions and other swap market participants, such as when must they register and when security-based swap transactions will be subject to US rules on clearing and trading.
